Nazara Technologies’ entity NODWIN Gaming International has acquired a gaming agency and platform Trinity Gaming International for a sum of Rs 24 crore.

Nazara has stated that this 100% acquisition will be completed through a mix of secondary sales and a stock swap deal.

NODWIN will pay Rs 4.8 crore in cash while the remaining Rs 19.2 crore would be settled through an equity share swap.

NODWIN aims to enhance its capabilities in providing immersive and comprehensive entertainment experiences for the youth with this deal.

Following this acquisition, the founders of Trinity Gaming will continue to head the company and will also become shareholders in NODWIN.

Established in 2019 by Abhishek Aggarwal and Shivam Rao, Trinity Gaming provides creator support for Meta and operates a gaming multi-channel network (MCN) for YouTube.

It also oversees a portfolio of over 1,000 content creators across India and has collaborated with international brands such as Samsung, Realme, iQOO, and Krafton.

Akshat Rathee, the founder of NODWIN, expressed excitement about bringing Trinity Gaming into the NODWIN Gaming family. He stated, “This acquisition allows us to offer more holistic solutions to our partners, from content creation to marketing services, while continuing to build a thriving gaming ecosystem in India.”

Trinity’s founder Aggarwal shared, “Joining forces with NODWIN Gaming is a momentous step for us. The synergy between our teams will accelerate our vision of creating unmatched opportunities for content creators in India, expanding the gaming ecosystem while helping brands connect more deeply with this highly engaged audience.”

Two days back, Nazara Technologies raised Rs 855 crore ($101.3 million) from various investors, including SBI Mutual Fund, founder Mithun Sacheti of Caratlane, Aamara Capital, among others.

This deal marks the latest addition to NODWIN’s portfolio of acquisitions in India and emerging markets globally.

Previous deals include Ninja Global FZCO, India’s Comic Con, the German esports and gaming marketing agency Freaks 4U Gaming, the West Asia and Turkey-focused marketing agency Publishme, the Singapore-based live events firm Branded, and the Turkish esports and gaming company Ninja Global.

In June, NODWIN solidified its position as Nazara Technologies’ leading revenue generator in the past six years. Since its acquisition by Nazara Technologies in 2018, NODWIN has seen remarkable growth and diversification.

Founded in 2014 by Akshat Rathee and Gautam Virk, NODWIN Gaming is gradually establishing itself as a leading youth-focused recreational and entertainment company with esports at its core.

The online gaming sector is currently facing challenges due to unclear regulations and the impact of the government’s decision to increase the goods and services tax (GST) on online games and casinos from 18% to 28%.
