Aster DM and Quality Care Announce Merger to Create Top 3 Indian Hospital Chain

In a landmark development, Aster DM Healthcare Limited and Quality Care India Limited (QCIL), backed by Blackstone and TPG, have announced a merger to create one of India’s largest healthcare platforms. The newly merged entity, Aster DM Quality Care Limited, will rank among India’s top three hospital chains.

Post-merger, the combined entity will boast:

  • 38 hospitals and 10,150+ beds.
  • A presence in 27 cities, significantly enhancing access to quality healthcare.
  • Leading healthcare brands under its umbrella, including Aster DM, CARE Hospitals, KIMSHEALTH, and Evercare.

The merger aligns with India’s growing need for bed availability in underserved regions and aims to set new benchmarks in patient care and innovation.

The merger values Aster at 36.6x EV/EBITDA and QCIL at 25.2x EV/EBITDA (FY24 adjusted). The ownership structure will see:

  • 24% stake held by Aster promoters.
  • 30.7% stake held by Blackstone.
  • The remaining 45.3% stake owned by public and other shareholders.

Aster will first acquire a 5% stake in QCIL from Blackstone and TPG in exchange for a 3.6% equity stake in Aster before the final amalgamation.

  • Azad Moopen, Founder and Chairman of Aster DM, will continue as Executive Chairman of the merged entity.
  • Varun Khanna (Group MD of Quality Care) will assume the role of MD & Group CEO, while Sunil Kumar will become Group CFO.
  • Equal board representation will be shared by Aster promoters and Blackstone, ensuring strong governance and strategic direction.
